Welcome to Docustrate. These Terms of Service ("Terms") govern your use of our document intelligence platform and services ("Services"). By accessing or using Docustrate, you agree to be bound by these Terms.

1. Services Provided

Docustrate provides AI-powered document search and retrieval services that connect to your existing document sources including SharePoint, Jira, Teams, Google Drive, and other business systems.

1.1 Service Access

  • We grant you a limited, non-exclusive, non-transferable right to access and use our Services
  • Access is subject to your compliance with these Terms and payment of applicable fees
  • We may modify, suspend, or discontinue Services with reasonable notice

1.2 Beta Services

During our beta period, Services are provided "as is" for evaluation purposes. Beta users receive free access but should expect potential service interruptions as we improve the platform.

2. Data and Privacy

2.1 Your Data Ownership

You retain all rights to your documents and data. Docustrate processes your data solely to provide Services and does not claim ownership of your content.

2.2 Data Processing

  • We process documents to enable search and retrieval functionality
  • Document content is encrypted in transit and at rest
  • We maintain existing access permissions from your source systems
  • You can export or delete your data at any time

2.3 Usage Data

We collect usage analytics to improve Services, including search queries, system performance metrics, and feature usage patterns. This data is anonymized and aggregated.

3. Acceptable Use

You agree to use Services only for lawful purposes and in accordance with these Terms. You will not:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Attempt to reverse engineer or compromise our systems
  • Share your account credentials with others
  • Use Services to process illegal or harmful content

4. Fees and Payment

4.1 Beta Pricing

Beta users receive free access through Q1 2025. We will provide 30 days notice before any billing begins.

4.2 Future Pricing

Post-beta pricing will be usage-based (documents processed + API calls) with generous free tiers. Early adopters receive 50% discount for the first year.

5. Term and Termination

5.1 Term

These Terms remain effective until terminated by either party.

5.2 Termination Rights

  • You may terminate at any time by discontinuing use of Services
  • We may terminate for material breach after 30 days written notice
  • Either party may terminate immediately for insolvency or legal requirements

5.3 Effect of Termination

Upon termination, your data remains available for export for 30 days, after which it will be permanently deleted.

6. Warranties and Disclaimers

6.1 Service Warranties

We warrant that Services will perform substantially in accordance with our documentation under normal use.

6.2 AI Technology Disclaimer

AI-powered features may produce inaccurate results. You are responsible for verifying the accuracy of any information retrieved through our Services.

6.3 Disclaimer

Except as expressly stated, Services are provided "AS IS" without warranties of any kind, express or implied.

7. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability will not exceed the amount you paid in the 12 months preceding the claim
  • We are not liable for indirect, consequential, or punitive damages
  • This limitation applies regardless of the legal theory of liability

8. Indemnification

You agree to indemnify and hold us harmless from claims arising from your use of Services, violation of these Terms, or infringement of third-party rights.

9. Confidentiality

Both parties agree to protect confidential information disclosed during the relationship. This obligation survives termination of these Terms.

10. General Provisions

10.1 Governing Law

These Terms are governed by Dutch law, without regard to conflict of law principles.

10.2 Dispute Resolution

Disputes will be resolved through binding arbitration in the Netherlands, except for intellectual property claims which may be pursued in court.

10.3 Changes to Terms

We may update these Terms with 30 days notice. Continued use constitutes acceptance of updated Terms.

10.4 Entire Agreement

These Terms constitute the entire agreement between the parties regarding use of Services.
